Avril 23, 2024 – MEGLIOQUESTO: TERMINATION OF BOARD OF DIRECTORS SHAREHOLDERS’ MEETING CALL
MeglioQuesto (MQPSA:IM), phygital marketplace offers services and products through an integrated platform between physical and digital channels, announces that during today’s meeting of the Company’s Board of Directors, the Directors Felice Saladini, Jaime Torrents Rotelli – Vice-President – and Antonello Bonuglia have resigned from own role. This choice was motivated by the latest events involving the issuer (i.e. the withdrawal of the EGA and the consequent suspension of the shares which still persists) and in view of the importance of the next corporate steps, also declaring that this choice is taken in order to guarantee maximum protection for shareholders, creditors and stakeholders (employees, collaborators, customers) and therefore leaving every choice on the governance structure to the shareholders’ meeting.

MeglioQuesto (MQPSA:IM), phygital marketplace devoted to the distribution of services and products through an integrated physical and digital platform, reports the Company has been notified, without prior allegations, of the early termination of the contracts as Euronext Growth Advisor (“EGA”) and Corporate Broker with Integrae SIM S.p.A. (“Integrae”) with immediate effect. The notice of termination was motivated by “the irreversible interruption of the fiduciary relationship with Integrae itself”, as MeglioQuesto had allegedly “repeatedly failed to comply with the disclosure obligations” arising from the Euronext Growth Milan Regulation on Issuers and from the Procedure for the Disclosure Obligations to the EGA.

MeglioQuesto (MQPSA:IM), phygital marketplace which offers services and products through an integrated platform of physical and digital channels, reports that the Italian Body of Financial Agents and Credit Brokers (“Organismo Agenti e Mediatori” or “OAM”) has imposed a sanction concerning the suspension of all activities of the subsidiaries MeglioQuesto Fin S.r.l. and MeglioQuesto 2Fin S.r.l. until 14 November 2023. The following reasons have been disclosed: “the companies have adopted an organisational model aimed at evading the single mandate provision, as a result of severe lack of internal procedures designed to avoid potential risks of conflicts”.
The companies have today filed an appeal to the relevant Italian jurisdictional court by challenging the illegitimacy of aforementioned restrictive measures.

Francesco Tam, a professional with extensive experience in capital markets, started his career in Cofiri
SIM, wholly owned by the Ministry of the Treasury, in 1996. Since 2000 he continued his professional growth in leading Italian banks and international investment funds with roles of increasing responsibility in fixed income, investment banking, and corporate finance. Contracted professor at the University of Bologna in the mathematics faculty since 1995, he teaches valuation techniques and applied mathematics at the second level master’s degree in finance. He also currently holds the role of CIO in CIV (Compagnia per l’Innovazione e per i Valori) S.r.l., an Italian family office.

- annual coupon: the total amount of the interest coupon that will be disbursed upon maturity will be equal to Euro 593,750.00. The amount of the coupon is equal to Euro 475 for each of the no. 1,250 outstanding bonds, and the applied rate will be 4.75%.
- repayment of the principal amount: equal to 10% of the total issued, equal to Euro 1,000 per single bond and Euro 1,250,000 in total.
